- mantenere riservate le Informazioni Riservate e non divulgarle, comunicarle, cederle né renderle accessibili a Terzi, in nessuna forma;
- utilizzarle esclusivamente per lo Scopo, e mai per altri progetti, per altri clienti, per proprio vantaggio o per qualunque altra finalità;
- non copiare né riprodurre i Documenti oltre quanto strettamente necessario allo Scopo;
- non pubblicare i Documenti, né inserirli in servizi online di Terzi, compresi i servizi di intelligenza artificiale generativa, di traduzione automatica e di condivisione di file, salvo consenso scritto del Mittente;
- conservare i Documenti in archivi privati, non accessibili al pubblico e protetti da autenticazione (per esempio la propria casella di posta elettronica) e, sui propri dispositivi di lavoro, adottare misure di sicurezza adeguate, come cifratura del disco e password robuste;
- limitare l'accesso ai soli collaboratori o consulenti che ne abbiano effettiva necessità per lo Scopo e che siano vincolati da obblighi di riservatezza equivalenti, rispondendo del loro operato;
- non utilizzare i dati personali presenti nei Documenti per finalità diverse dallo Scopo e non contattare i Terzi indicati nei Documenti senza il consenso del Mittente;
- essere di pubblico dominio, o diventate tali senza colpa del Ricevente;
- essere già legittimamente in suo possesso prima della ricezione;
- essere state ottenute legittimamente da un Terzo non vincolato da obblighi di riservatezza;
6. Dichiarazioni e garanzie del Mittente
Il Mittente dichiara e garantisce che:
- i Documenti sono di sua esclusiva proprietà e/o che egli ha ogni diritto e/o l'esplicito consenso di poterli condividere su questo sito, come ribadito dalla dichiarazione separata che rende prima dell'invio;
- l'invio e l'uso dei Documenti per lo Scopo non violano diritti di Terzi, in particolare diritti di proprietà intellettuale, segreti commerciali, obblighi di riservatezza o altri obblighi contrattuali, né norme di legge;
- i Documenti non contengono virus, codice dannoso o contenuti illeciti;
- i dati personali presenti nei Documenti sono limitati a quelli indispensabili allo Scopo e, in particolare, non sono inviati dati relativi alla salute, né dati giudiziari, né altre categorie particolari di dati, salvo che siano strettamente necessari e vi sia una base giuridica che ne consenta la comunicazione;
- i dati che fornisce per identificarsi sono veritieri e completi;
- conserva presso di sé gli originali dei Documenti: il servizio conserva soltanto una copia ricostruita, come descritto all'articolo 7;
Non-Disclosure and Non-Sharing Agreement for Information and Documents (NDA)
This agreement (the «Agreement») governs the confidentiality of the documents and information that a visitor of the website bonet.tech chooses to submit by attaching them to the contact form («Attach confidential documents»). It is concluded electronically, by clicking the acceptance button, after reading the text, in Italian, English or German at the Sender's choice, and binds the parties from the moment of acceptance. In any case the Italian version prevails (article 14).
1. Parties
- Receiving party: Euro Buchberger, freelance professional, based in Noventa Padovana (PD), Italy, owner of the website bonet.tech and of the BoNet™ project (the «Recipient»).
- Submitting party: the natural or legal person using the service, identified by the name, email address and type of requester indicated in the submission form (the «Sender»).
If the Sender acts on behalf of a company or another organisation, the Sender declares to have the authority to represent it and to bind it to this Agreement.
2. Purpose
The documents are submitted solely to allow the Recipient to assess a possible collaboration or supply of services (for example design, configuration or analysis of a network, feasibility study, quotation, consultancy or support) and to prepare any meeting or video conference with the Sender (the «Purpose»).
3. Definitions
- «Documents»: the files submitted by the Sender through the service, in PDF and image (JPEG, PNG, WebP) formats only, including the copies, extracts, notes and reproductions derived from them.
- «Confidential Information»: all the information contained in the Documents and all the information communicated by the Sender to the Recipient for the Purpose, in writing, orally or by any other means, even if not marked as confidential. By way of example, it includes technical, financial, commercial and design data, network diagrams, floor plans and drawings, configurations and equipment inventories, contracts and specifications, information on clients, suppliers, sites and systems, and personal data.
- «Third Parties»: anyone other than the Recipient.
4. Obligations of the Recipient
The Recipient undertakes, for the whole period set out in article 9, to:
- keep the Confidential Information confidential and not disclose, communicate, assign or make it accessible to Third Parties in any form;
- use it exclusively for the Purpose, and never for other projects, for other clients, for its own advantage or for any other aim;
- not copy or reproduce the Documents beyond what is strictly necessary for the Purpose;
- not publish the Documents or enter them into online services of Third Parties, including generative artificial intelligence services, machine translation services and file-sharing services, without the Sender's written consent;
- keep the Documents in private archives, not accessible to the public and protected by authentication (for example its own mailbox) and adopt adequate security measures on its work devices, such as disk encryption and strong passwords;
- limit access to those collaborators or consultants who actually need it for the Purpose and who are bound by equivalent confidentiality obligations, remaining responsible for their conduct;
- not use the personal data contained in the Documents for purposes other than the Purpose and not contact the Third Parties named in the Documents without the Sender's consent;
- inform the Sender without delay, and in any case within 72 hours of discovery, of any unauthorised access, use or disclosure of which it becomes aware.
5. Exceptions
The following are not Confidential Information and are not subject to the obligations of article 4, provided the Recipient demonstrates in writing that the information:
- is in the public domain, or has become so through no fault of the Recipient;
- was already lawfully in its possession before receipt;
- was lawfully obtained from a Third Party not bound by confidentiality obligations;
- was developed independently, without using the Confidential Information.
The Recipient may also disclose Confidential Information when required to do so by law or by an order of a competent judicial or administrative authority. In that case, where the law permits, it informs the Sender in advance, limits the disclosure to the minimum necessary and asks for it to be kept confidential.
6. Declarations and warranties of the Sender
The Sender declares and warrants that:
- the Documents are its exclusive property and/or it has every right and/or the explicit consent to share them on this website, as confirmed by the separate declaration it makes before sending;
- the submission and use of the Documents for the Purpose do not infringe the rights of Third Parties, in particular intellectual property rights, trade secrets, confidentiality obligations or other contractual obligations, or any legal provision;
- the Documents do not contain viruses, harmful code or unlawful content;
- the personal data contained in the Documents are limited to what is indispensable for the Purpose and, in particular, no health data, criminal-offence data or other special categories of data are sent, unless strictly necessary and there is a legal basis allowing their communication;
- the data it provides to identify itself are truthful and complete;
- it keeps the originals of the Documents: the service keeps only a rebuilt copy, as described in article 7;
- it does not send passwords, keys, tokens or other access credentials to its own systems or those of Third Parties.
7. Technical rules of the service
Up to 4 files may be submitted at a time, each not larger than 2 MB, in PDF (without password and up to 20 pages) and image (JPEG, PNG, WebP) formats. Files of any other type, or whose content does not match the declared format, are rejected.
For security reasons, each file is checked and rebuilt into a clean copy, directly on Cloudflare's systems, before being forwarded: images are decoded and re-encoded from scratch in JPEG format; scripts, hidden attachments, automatic actions, forms, annotations, links and metadata are removed from PDF files. The Recipient receives and keeps only the rebuilt copy and does not keep the original file.
The Sender acknowledges and accepts that the rebuilt copy may differ from the original: for example, fillable forms, hyperlinks, comments, metadata (including the date, place and device of a photograph), colour profiles and, in digitally signed PDFs, the validity of the signature may be lost. If the validity of the signature is essential, the Sender may agree another delivery method with the Recipient.
The submission of the Documents does not oblige the Recipient to reply, to assess the request or to accept an assignment.
8. Processing of personal data
The Recipient processes the Sender's personal data and the personal data contained in the Documents as data controller, in accordance with Regulation (EU) 2016/679 (GDPR) and the privacy policy published on the website, which the Sender declares to have read. The Documents are transmitted through the transactional email service of Cloudflare, Inc. (Cloudflare Email Sending) and delivered to the Recipient's mailbox: those providers process them only to deliver them.
Together with the acceptance of this Agreement the system records, in the message received by the Recipient: date and time, IP address, browser type, version and language of the text read, reading times and the identification data provided by the Sender. These data are used to prove that the Agreement was concluded and to protect the rights of the parties.
9. Duration
The Recipient's confidentiality obligations last for 5 years from the date of acceptance. For information that constitutes a trade secret under the law, the obligations continue for as long as that information retains this quality, through no fault of the Recipient.
The obligations concerning personal data follow the periods stated in the privacy policy.
10. Retention, return and deletion
The Recipient keeps the Documents for the time necessary for the Purpose and, in any case, for a maximum of 12 months from receipt, after which it deletes them from its mailbox and from its devices.
Upon the Sender's written request, the Recipient deletes the Documents and the working copies within 15 days and, if requested, confirms this in writing.
Copies present in encrypted technical backups are removed at the end of the normal backup rotation cycles.
Retention required by legal obligations and the retention of the acceptance record described in article 8 remain unaffected.
11. No licence and no obligation to contract
This Agreement does not transfer to the Recipient any right of ownership, licence or exploitation over the Documents and the Confidential Information, which remain with the Sender or its successors in title.
No party is obliged to enter into further agreements, assignments or collaborations, and no fee is due for the assessment of the Documents.
12. Breaches and remedies
In the event of a breach of the confidentiality obligations, the Sender may demand the immediate cessation of the breach, including through urgent measures, and compensation for the damage proven, in accordance with the law.
The Recipient is liable for breaches attributable to its wilful misconduct or negligence. It is not liable for unlawful access by Third Parties that occurs despite the adoption of the security measures described in this Agreement.
No contractual penalty is provided for.
13. Electronic acceptance and evidence
The Agreement is concluded by clicking the acceptance button, which becomes active only after the Sender has scrolled to the end of at least one of the three texts, in Italian, English or German, and has spent a minimum reading time on it.
The parties acknowledge that electronic acceptance, recorded with the information described in article 8, constitutes valid evidence that the Agreement was concluded, within the limits allowed by law, in particular by Regulation (EU) 910/2014 and Legislative Decree 82/2005.
The Sender may ask the Recipient for a copy of the accepted text and of the acceptance record concerning it, by writing to privacy@eurobuchberger.it.
14. Languages
The Agreement is drawn up in Italian, English and German, and the Sender may read and accept any of the versions. The three versions have the same content, but for the purposes of interpretation and effectiveness, and in case of disputes, only the Italian version prevails in any case, regardless of the language in which the Sender read it or of the language of the website used; in case of difference, the Italian version prevails.
If the Sender has read only the English or German version, the Sender nevertheless accepts the Agreement in its Italian version, which the Sender can consult at any time on the website.
15. Governing law and jurisdiction
The Agreement is governed by Italian law. For any dispute concerning its validity, interpretation or performance, the courts of Padua (Veneto, Italy) have exclusive jurisdiction, unless mandatory law provides otherwise, in particular for the protection of consumers.
16. Final provisions
This Agreement constitutes the entire understanding between the parties on the confidentiality of the Documents submitted through the service.
The Recipient may publish new versions of the text. Each version applies to the Documents submitted after its acceptance; the version accepted at the time continues to apply to the Documents already submitted.
If a clause is found to be void or ineffective, the others remain valid. Failure or delay in enforcing a right does not constitute a waiver of it.
Communications between the parties take place by email, to the addresses indicated by the Sender in the form and by the Recipient on the website.
- die Vertraulichen Informationen vertraulich zu behandeln und Dritten gegenüber in keiner Form offenzulegen, mitzuteilen, abzutreten oder zugänglich zu machen;
- sie ausschließlich für den Zweck zu verwenden, und niemals für andere Projekte, für andere Kunden, zum eigenen Vorteil oder zu irgendeinem anderen Zweck;
- die Dokumente nicht über das für den Zweck unbedingt Erforderliche hinaus zu kopieren oder zu vervielfältigen;
- die Dokumente nicht zu veröffentlichen und nicht in Online-Dienste Dritter einzugeben, einschließlich Diensten für generative künstliche Intelligenz, maschinelle Übersetzung und Dateifreigabe, es sei denn, der Absender stimmt schriftlich zu;
- die Dokumente in privaten Archiven aufzubewahren, die nicht öffentlich zugänglich und durch Authentifizierung geschützt sind (zum Beispiel das eigene E-Mail-Postfach), und auf den eigenen Arbeitsgeräten angemessene Sicherheitsmaßnahmen zu treffen, etwa Festplattenverschlüsselung und starke Passwörter;
- den Zugang auf diejenigen Mitarbeiter oder Berater zu beschränken, die ihn für den Zweck tatsächlich benötigen und an gleichwertige Vertraulichkeitspflichten gebunden sind, wobei er für deren Verhalten einsteht;
- die in den Dokumenten enthaltenen personenbezogenen Daten nicht für andere Zwecke als den Zweck zu verwenden und die in den Dokumenten genannten Dritten nicht ohne Zustimmung des Absenders zu kontaktieren;
- öffentlich bekannt sind oder ohne Verschulden des Empfängers öffentlich bekannt geworden sind;
- sich bereits vor dem Erhalt rechtmäßig in seinem Besitz befanden;
- rechtmäßig von einem Dritten erlangt wurden, der keinen Vertraulichkeitspflichten unterliegt;
6. Erklärungen und Zusicherungen des Absenders
Der Absender erklärt und sichert zu, dass
- die Dokumente sein ausschließliches Eigentum sind und/oder er jedes Recht und/oder die ausdrückliche Zustimmung hat, sie auf dieser Website zu teilen, wie in der gesonderten Erklärung bekräftigt, die er vor dem Absenden abgibt;
- die Übermittlung und Verwendung der Dokumente für den Zweck keine Rechte Dritter verletzen, insbesondere keine Rechte des geistigen Eigentums, Geschäftsgeheimnisse, Vertraulichkeitspflichten oder sonstigen vertraglichen Pflichten, und nicht gegen Rechtsvorschriften verstoßen;
- die Dokumente keine Viren, keinen Schadcode und keine rechtswidrigen Inhalte enthalten;
- die in den Dokumenten enthaltenen personenbezogenen Daten auf das für den Zweck Unerlässliche beschränkt sind und insbesondere keine Gesundheitsdaten, keine Daten über Straftaten und keine anderen besonderen Kategorien von Daten übermittelt werden, es sei denn, sie sind unbedingt erforderlich und es besteht eine Rechtsgrundlage, die ihre Übermittlung erlaubt;
- die Daten, die er zu seiner Identifizierung angibt, wahrheitsgemäß und vollständig sind;
- er die Originale der Dokumente bei sich aufbewahrt: Der Dienst speichert nur eine neu aufgebaute Kopie, wie in Ziffer 7 beschrieben;
